We do not guarantee specific rankings, leads, phone calls, booked jobs, revenue, return on investment, advertising performance, or other results.

Google and Other Third-Party Platforms

Our services may involve third-party platforms such as Google Ads, Google Business Profile, Google Maps, analytics platforms, social media platforms, hosting providers, scheduling services, and other third-party technologies.
These platforms are independently operated and may change their policies, features, algorithms, availability, pricing, or requirements at any time. We do not control third-party platforms and cannot guarantee their continued availability or
performance.

Advertising Costs

Where paid advertising is part of a client’s service, advertising spend paid to third-party advertising platforms is separate from our agency fees unless expressly stated otherwise in a client agreement. Clients are responsible for approved advertising budgets and applicable third-party charges.

Client Responsibilities

Successful marketing requires cooperation between the agency and the client.
Clients are responsible for providing accurate information, reasonable access, approvals, materials, and other information required to perform the agreed services.

Clients are also responsible for their own business operations, including:

• Answering customer calls
• Returning missed calls
• Following up with enquiries
• Managing appointments
• Providing accurate pricing and service information
• Delivering professional customer service
• Completing work to an appropriate standard

Marketing can create opportunities, but we do not control how a client handles or converts those opportunities.

Payments and Service Commencement

Client services begin only after the applicable payment has been received and confirmed by Nitrog3n Digital Media (Pty) Ltd, unless otherwise agreed in writing. Our standard service structure may include a once-off setup fee followed by an initial 90-day program. Following the initial program, services may continue on a month-to-month basis under the applicable client agreement. Specific fees, payment dates, services, and billing arrangements will be stated in the applicable client agreement or invoice.

Monthly Retainers

After the initial program, applicable services may continue on a monthly retainer basis. Monthly retainers may be cancelled at any time, subject to the terms of the applicable client agreement. For good business practice, we ask clients to provide cancellation notice before the end of the current month whenever possible. This allows us to avoid unnecessary planning and scheduling for the following month. Where payment for a new service month has not been received by the third business day, we may pause active client work until payment is received. We will make reasonable efforts to communicate with the client before or during any service suspension.

Service Start Dates and Billing Periods

The commencement date of a client’s initial program will be established in the applicable client agreement. Because clients may begin at different times during a calendar month, the initial 90-day program and the subsequent monthly service period may not always align exactly with the first or last day of a calendar month. The applicable client agreement will specify the relevant service dates and billing arrangements.

Client Delays

Our ability to provide services may depend on receiving information, approvals, account access, assets, or other cooperation from the client. If a client causes substantial delays, we may need to adjust timelines, delivery dates, or planned work. We will communicate material delays with the client where reasonably possible.

Intellectual Property

Unless otherwise agreed in writing Nitrog3n Digital Media (Pty) Ltd retains ownership of its pre- existing materials, methods, processes, templates, internal systems, and proprietary resources. Ownership or permitted use of client-specific deliverables will be determined by the applicable client agreement. Third-party materials, platforms, software, trademarks, and other intellectual property remain the property of their respective owners.

Confidentiality

We respect the confidentiality of information shared with us in connection with our business relationship. We will take reasonable steps to protect confidential business information and will not knowingly disclose it except where necessary to provide agreed services, comply with legal obligations, or protect our legitimate business interests. Specific confidentiality obligations may be established through a separate client agreement.
